Eligibility.  The The Virtru Privacy Engineering Challenge (“Promotion”) is open only to individuals who, at the time of entry, have reached the age of majority in the jurisdiction in which they reside.  Employees of Virtru Corporation and its related companies, as well as the immediate family (spouse, parents, siblings, and children) and household members (whether or not related) of each such employee are not eligible.  The Promotion is subject to all federal, state, and local laws and regulations and is void where prohibited by law.

If you enter as part of a company or on behalf of your employer, these Official Rules are binding on you, individually, and your employer.  If you are acting within the scope of your employment, you warrant that your employer has consented to your entry into this Promotion, including your potential receipt of a prize.  You further warrant that your actions do not violate your employer’s policies.

Agreement to Official Rules Participation in the Promotion constitutes your full and unconditional agreement to these Official Rules and the decisions of the Sponsor and judges, which are final and binding.  Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules in a timely manner.

Entry Period. The Promotion begins on August 7, 2019 at 12:00 a.m. U.S. Eastern Time (“ET”) and ends on October 31, 2019 at 11:59 p.m. U.S. Pacific Time.  

Entry To enter, during the Entry Period, go to virtru.com/challenge, and follow the instructions to complete the entry form and submit a deployment of the Virtru SDK that helps your organization build a more secure future and demonstrates how privacy can be an enabler.  Your submission must be in English, make at least one call to the Virtru SDK, use the “encrypt” feature, and have options for end users to use controls. You will be required to submit a video of a demo of your deployment or a link to such a demo, in each case with clear instructions as to how to deploy.  You must comply with all applicable laws, rules, regulations, and agreements you have with third parties, in creating and submitting your entry. You are responsible for ensuring that any contact information you provide in connection with your entry remains accurate. All personal information submitted in connection with an entry will be treated in accordance with the Sponsor’s privacy policy, available at https://www.virtru.com/privacy-policy/

Your entry must be your own original work and must not:  (a) impersonate any person or entity or falsely state or misrepresent any affiliation with any person or entity; (b) contain any content that could be considered deceptive, misleading, false, fraudulent, scandalous, indecent, obscene, sexually explicit, defamatory, libelous, threatening, harassing, hateful, degrading, intimidating, graphically violent, or otherwise unlawful, tortious, or objectionable; (c) depict, encourage, promote, or induce conduct that could violate any law or give rise to criminal or civil liability, or that could be considered risky, violent, discriminatory, or otherwise inappropriate; (d) contain any content that is protected by patent, copyright, trademark, trade secret, right of publicity, or other intellectual property, privacy, or other right of any third party, without the express prior written consent of the owner of such right; (e) contain any personal information about you or any other person; (f) contain any confidential information, or any material, non-public information about any company; or (g) contain any virus, worm, Trojan Horse, Easter Egg, time bomb, spyware, or other computer code, file, or program that is harmful or invasive or that may or is intended to damage or hijack the operation of, or to monitor the use of, any website, hardware, software, or network.  Your entry (and any components thereof) must not have been entered into any other contest, promotion, or exhibition or otherwise published or distributed. The Sponsor reserves the right, in its sole and absolute discretion, to refuse to accept any entry for any reason.

Groups.  An entry may be submitted by a group of individuals (such individuals, collectively and individually, a “Group”) solely pursuant to this Section 6.  Each Group must designate one (1) person within such group as the agent for the group (the “Group Leader”) for purposes of entering the Group into the Promotion, agreeing to these Official Rules and any other required agreements, affidavits and releases, and accepting any prize, each on behalf of the Group.  All members of a Group must be listed in the Group’s Promotion registration; after the registration is submitted, a Group is not permitted to add or remove any members. Groups may not have more than 25 members. If you are a Group Leader, you are entering into the Promotion and agreeing to these Official Rules on behalf of yourself and each member of your Group.

Limited License to Entries You (and the members of your Group, if applicable) will retain ownership of your entry, and nothing in these Official Rules will transfer ownership of your entry to Sponsor or any other party.  However, Sponsor needs to be granted certain limited rights in your entry in order to run the Promotion. Accordingly, you (and all members of your Group, if applicable) grant to the Sponsor a limited, revocable, non-exclusive, sublicensable, worldwide, royalty-free license to reproduce, distribute, perform and display (publicly or otherwise), make available to the public and otherwise use your entry solely in connection with the Promotion. 

No Confidentiality.  You agree that the Sponsor and its related companies, business partners, and service providers do not have any confidentiality or nondisclosure obligations in or with respect to your entry or any other information or material related to the Promotion.

Selection of Potential Winners. On or about November 15, a panel of judges appointed by the Sponsor will select three (3) potential winners from among all eligible entries:  one (1) First Place Winner, one (1) Second Place Winner, and one (1) Third Place Winner. Entries will be judged on the following criteria, which will be equally weighted: 

  1. Innovation – Novel and creative applications of the Trusted Data Format advancing the field of Privacy Engineering.
  2. Reach – Positive influence for creating efficiencies and unlocking value through data sharing, as measured by potential financial or resource savings.
  3. Societal Impact – Applications of TDF that help protect data for at-risk communities, such as human rights activists or journalists, or with broad reach to help make privacy and security accessible for underserved communities.

In the event of a tie, the entry with the higher score for societal impact will be the potential winner.  In the event that no entries are received that meet the judging criteria, no prize will be awarded. Potential winners will be notified by email.  If a potential winner cannot be contacted within five (5) days of the first attempt to contact him/her, the entrant with the next highest score will be the potential winner.  

Requirements of Potential Winner Except where prohibited, potential winner (including each member of a Group, if applicable) must complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within ten (10) days of being notified.  If a potential winner (including any member of a Group, if applicable) fails to sign and return the Affidavit/Release within the required time period, if notification or prize is returned as undeliverable, or if the Sponsor determines in its sole discretion that the potential winner is ineligible, the entry with the next highest score will be selected as the potential winner in his/her place, and he/she (and any other members of his or her Group, if applicable) will forfeit the prize.  Winner may be required to provide Social Security number for tax reporting purposes. Unless prohibited by law, acceptance of a prize constitutes permission for the Sponsor to use winner’s name, picture, likeness, address (city and state), and biographical information for advertising and publicity purposes, worldwide, without further compensation.  

Prize The First Place Winner will receive U.S.$15,000.  The Second Place Winner will receive U.S.$10,000. The Third Place Winner will receive U.S.$5,000.  A winner may choose to direct his/her prize to a charity designated by the Sponsor. All federal, state, local, and other applicable taxes and all other expenses associated with prize receipt and/or use not specifically mentioned herein are the responsibility solely of winner.  Prize is non-transferable and non-assignable. No substitution permitted, except that the Sponsor reserves the right to substitute a prize of comparable or greater value at the Sponsor’s sole discretion. If a winner is a Group, the Sponsor will award the prize solely to the Group Leader.

Export Controls.  You are responsible for complying with U.S. export controls and for any violation of such controls, including any U.S. embargoes or other federal rules and regulations restricting exports.  You represent, warrant and covenant that you are not (a) located in, or a resident or a national of, any country subject to a U.S. government embargo or other restriction, or that has been designated by the U.S. government as a “terrorist supporting” country; or (b) on any of the U.S. government lists of restricted end users.

Release and Indemnity; Limitation of Liability.  To the fullest extent permitted by applicable law, by participating in the Promotion, you agree (on behalf of yourself and any members of your Group, if applicable) to release and hold harmless the Sponsor, its parent and related companies, and each such company’s respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to claims that your entry violates any copyrights, patents, trademark rights, publicity rights or other rights and claims arising from any breach or alleged breach by you (or any member of your Group, if applicable) of these Official Rules; (d) claims of misappropriation of ideas or other intellectual property; (e) claims arising from unauthorized human intervention in the Promotion; (f) claims arising from any technical or printing errors, including errors that may prevent you from submitting an entry; (g) claims arising from lost, late, postage-due, misdirected, or undeliverable mail or email; (h) claims arising from errors in the administration of the Promotion or the processing of entries; ; or (i) claims based on defamation, infringement of intellectual property rights, or on the rights of publicity or privacy.  You further agree that in any cause of action, the Released Parties’ liability will be limited to the actual out-of-pocket costs associated with participating in the Promotion, and in no event shall the Released Parties be liable for attorneys’ fees. YOU (AND ALL MEMBERS OF YOUR GROUP, IF APPLICABLE) WAIVE ANY RIGHTS OR CLAIMS TO INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY SO THE ABOVE MAY NOT APPLY TO ALL ENTRANTS.

IF YOU (OR ANY MEMBER OF YOUR GROUP, IF APPLICABLE) ARE A CALIFORNIA RESIDENT, YOU (AND ALL MEMBERS OF YOUR GROUP, IF APPLICABLE) WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS:  “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

Disputes To the extent permitted by applicable law, by entering the Promotion, you agree that any and all disputes, claims, and causes of action arising out of the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a federal court in the Eastern District of Virginia or in state courts with jurisdiction over Fairfax County, Virginia.  All issues and questions concerning these Official Rules, your rights and obligations, or the Sponsor’s rights and obligations shall be governed by the laws of the Commonwealth of Virginia, without giving effect to any choice of law or conflict of law rules.  

General Conditions.  In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, the Sponsor may, in its sole discretion, suspend, modify, and/or cancel the Promotion.  Sponsor reserves the right in its sole discretion to disqualify any individual (and any Group to which such individual belongs) it finds to be tampering with the operation of the Promotion or to be acting in violation of these Official Rules or in a disruptive manner.  Any attempt by any person to undermine the operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.  In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address.  In the event that an entry is confirmed to have been erroneously deleted, lost or destroyed, entrant’s sole remedy shall be another entry into the Promotion. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
